The agreement between you and Nexu.
§ 01Agreement to These Terms
These Terms of Service (the "Terms") form a legally binding agreement between you ("you", "your", or "User") and Su Pengzhong, an individual resident in Singapore ("Nexu", "we", "us", or "our"), governing your access to and use of the Nexu mobile application, any related websites, APIs, content, and services we make available (collectively, the "Service").
BY CREATING AN ACCOUNT, INSTALLING, ACCESSING, OR USING THE SERVICE, YOU CONFIRM THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND OUR PRIVACY POLICY. IF YOU DO NOT AGREE, YOU MUST NOT USE THE SERVICE.
§ 02The Service
Nexu is an identity-based habit accountability application that enables users to:
- Define an identity statement and create habits that support that identity.
- Complete daily check-ins in Easy Mode (simple completion), Focus Mode (with a written reflection), or Proof Mode (with a photo submitted to automated AI verification).
- Invite human friends or use our AI accountability partner ("Lumi") for support, review, and encouragement.
- Form one-to-one accountability partnerships, co-journey habits, or group accountability conversations called Habit Circles.
- Send and receive messages, photos, and "nudges" with other Users with whom they have an accepted connection.
- Receive local and remote reminders and notifications.
The Service is provided "as available" and we may, at our discretion, add, remove, modify, or discontinue any feature at any time. Some features may be free, beta, experimental, or paid; paid features (if any) are governed by additional terms presented at the point of purchase.
§ 03Eligibility
You may use the Service only if all of the following are true:
- a. You are at least 13 years of age (or the higher minimum digital-consent age in your jurisdiction — for example, 16 in many European Economic Area countries, or such other age as applicable local law requires).
- b. If you are between 13 and the age of majority in your jurisdiction (typically 18), you have obtained verifiable consent from a parent or legal guardian who agrees to be bound by these Terms on your behalf.
- c. You have the legal capacity to enter into a binding contract.
- d. You are not barred from using the Service under the laws of your country of residence or any other applicable jurisdiction.
- e. You have not previously been suspended or removed from the Service by us.
- f. You are not on any government denied-party, sanctions, or terrorist list, and you are not located in a country subject to a comprehensive embargo by Singapore.
We reserve the right to refuse service, terminate accounts, or cancel orders at our sole discretion. If we learn that a User is under the minimum age, we will terminate the account. If you believe a User is under the minimum age, please email support.nexu@gmail.com.
§ 04Account Registration and Security
Account Creation
You may create an account using an email address and password or by signing in with Google (via Supabase OAuth). Additional authentication methods (such as Apple Sign-In or phone OTP) may be offered in the future and will be subject to these Terms.
You agree to:
- Provide accurate, current, and complete information when creating your account.
- Maintain and promptly update your account information.
- Maintain the security and confidentiality of your login credentials.
- Notify us immediately of any unauthorized access, security breach, or suspected compromise of your account.
Responsibility
You are solely responsible for all activity that occurs under your account, including content posted, photos uploaded, messages sent, friend connections made, and any consequences of using the Service. We are not liable for any loss or damage arising from your failure to comply with this section.
One Person, One Account
Each account is for an individual human User. You may not create or maintain multiple accounts to circumvent restrictions, evade suspension, or otherwise misuse the Service. You may not transfer, sell, lease, or assign your account to any other person.
Offline / Prototype Mode
The Service may operate in a limited local-only mode when not signed in or when backend connectivity is unavailable. Local-mode data is stored on your device only, is not backed up to our servers, and may be lost if the app is uninstalled, the device is reset, or local cache is cleared. We are not responsible for the loss of locally stored data.
§ 05License Grant; Acceptable Use
License to You
Subject to your continued compliance with these Terms, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Service on devices that you own or control, solely for your personal, non-commercial use.
Restrictions
You agree that you will not, and will not permit anyone else to:
- a. Copy, modify, distribute, sell, lease, sublicense, or create derivative works of the Service.
- b. Reverse engineer, decompile, disassemble, or attempt to derive source code or underlying ideas, except to the extent expressly permitted by applicable law.
- c. Remove, obscure, or alter any proprietary notices on the Service.
- d. Use the Service in any way that violates any law, regulation, court order, or third-party right.
- e. Use the Service to harass, threaten, intimidate, stalk, defame, abuse, or harm any other person.
- f. Upload, transmit, or generate content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, hateful, sexually explicit, sexually suggestive involving minors, or otherwise objectionable.
- g. Upload nude, sexual, sexually suggestive, or graphically violent photographs as proof, in chats, in profile media, or in any other surface.
- h. Upload photos or content of any other person without that person's informed consent, including but not limited to children.
- i. Upload, transmit, or distribute content that infringes any third party's intellectual property rights, privacy rights, or publicity rights.
- j. Use the Service to send unsolicited promotional or commercial messages, spam, chain letters, pyramid schemes, or similar communications.
- k. Submit false, manipulated, AI-generated, deepfake, stolen, or otherwise fraudulent photos as proof of habit completion in order to deceive an accountability partner, Lumi, Habit Circle, or our verification systems.
- l. Use any automated means (including bots, scrapers, or crawlers) to access, monitor, or copy any portion of the Service.
- m. Attempt to interfere with, compromise, or disrupt the Service, including by introducing malware, exploiting vulnerabilities, overloading servers, or bypassing rate limits.
- n. Attempt to access another User's account, private media, chats, Habit Circles, or accountability data without authorization.
- o. Attempt to reverse engineer, extract, or otherwise obtain our OpenAI prompts, model configurations, service-role keys, or any other server-side secrets.
- p. Use the Service to develop a competing product, train a machine-learning model, or benchmark another service against ours.
- q. Pose as another person, impersonate any individual or entity, or misrepresent your affiliation with any person or entity.
- r. Use the Service for any activity that could result in physical or mental harm to yourself or others, including using "habits" or check-ins to encourage, glorify, instruct, or facilitate self-harm, eating disorders, substance abuse, violence, or suicide.
- s. Use the Service in a way that interferes with another User's ability to use it.
- t. Circumvent, disable, or otherwise interfere with security-related features of the Service.
Enforcement
We may, but are not obligated to, monitor User conduct and content. We reserve the right at our sole discretion to investigate suspected violations, remove content, restrict features, suspend or terminate accounts, and report unlawful conduct to law enforcement. We are not required to give advance notice before taking enforcement action.
§ 06User Content
What is "User Content"
"User Content" means any content you create, upload, submit, post, transmit, or display through the Service, including:
- Your identity statement, profile name, bio, avatar image, and onboarding signature
- Habits you create (titles, why-this-matters, bad-day version, success definition, identity, reminders, schedule)
- Check-in data and Focus-mode reflections
- Proof photos submitted in Proof Mode
- Chat messages and chat media (photos and any future video)
- Habit Circle messages, partner nudges, and accountability invites
- Prompts you submit to generate AI habit icons
- Feedback, suggestions, and comments you send us
Your Rights to Your Content
You retain ownership of the intellectual property rights in User Content you create. We do not claim ownership of your photos, your habit data, or your messages.
License to Us
By submitting User Content to the Service, you grant us — and our service providers and successors — a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, copy, process, transmit, display, modify, and create derivative works of your User Content solely for the purposes of:
- a. Operating, providing, securing, and improving the Service.
- b. Transmitting your User Content to the recipients you direct (for example, sharing a proof photo with your accountability partner; posting a message in a Habit Circle to its members).
- c. Performing the AI verification, AI accountability chat, AI habit-icon generation, and related processing described in Section 7.
- d. Backing up and disaster-recovery purposes.
- e. Enforcing these Terms and complying with legal obligations.
This license terminates when you delete the User Content from the Service or close your account, except that (i) we may retain backup copies for a commercially reasonable period thereafter, (ii) we may retain User Content that other Users have copied or saved (for example, screenshots) and we have no control over those copies, and (iii) the license survives in anonymized or aggregated form.
Your Representations
By submitting User Content, you represent and warrant that:
- a. You own or have all necessary rights to submit the User Content and to grant the licenses in this Section.
- b. The User Content does not violate the rights of any third party (including intellectual property, privacy, publicity, or moral rights).
- c. The User Content does not violate Section 5.2 ("Restrictions") or any applicable law.
- d. If your User Content depicts another identifiable person, you have that person's informed consent to upload and share their image, including for the AI verification described in Section 7. You are solely responsible for obtaining such consent.
No Obligation to Store
We do not guarantee that User Content will be stored, available, accessible, or recoverable. You are solely responsible for maintaining backup copies of any User Content you wish to preserve. We are not liable for any loss, deletion, corruption, or inaccessibility of User Content.
Proof Photo Specifics
Proof photos submitted through Proof Mode are uploaded to private storage and:
- Hashed (SHA-256) so that exact-duplicate submissions can be detected and flagged.
- Sent in part to our AI proof-verification service for assessment of whether they plausibly support the habit (see Section 7).
- Made accessible (via short-lived signed URLs) to your accountability partner or Habit Circle members when applicable.
- Stored until you delete the related check-in, delete the habit, delete your account, or we delete it per our retention practices.
You must not upload any photo as proof if it contains content prohibited by Section 5.2 or content you do not have the right to upload. You acknowledge that proof photos shared with an accountability partner or Habit Circle are visible to those Users.
Feedback
If you submit ideas, suggestions, feature requests, or other feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use such feedback for any purpose without compensation or attribution to you.
§ 07AI Features (Lumi, Proof Verification, Habit Icons)
Nexu uses third-party artificial intelligence services (currently OpenAI's API, called only through our backend Edge Functions) to provide several features. You agree to the following acknowledgments and disclaimers concerning AI features.
AI Proof Verification
When you submit a proof photo in Proof Mode, we transmit the image (or relevant context about it) along with the habit title and your identity statement to our AI provider. The AI returns a confidence score, an approve/needs-review status, and a brief reason. The result is treated as the proof outcome except that ambiguous, malformed, or failed AI responses default to "needs review" rather than approval.
You acknowledge that:
- AI verification is automated, probabilistic, and frequently wrong. It may approve photos that do not actually show habit completion ("false positive") or reject photos that do ("false negative").
- The AI does not understand the full context of your life, your habit, or your circumstances.
- AI verification is not a guarantee, certification, audit, or factual determination that you did or did not complete a habit.
- AI verification is provided for entertainment, motivation, and lightweight accountability only.
- We are not responsible for any reliance you, your accountability partner, your Habit Circle, your employer, your therapist, or any other person places on AI verification outputs.
Lumi (AI Accountability Partner)
"Lumi" is the user-facing display name for our AI accountability partner. Lumi generates conversational messages — intros, replies, proof responses, encouragement, and check-in nudges — using a third-party large language model.
You acknowledge that:
- Lumi is not a human being. It is a software simulation.
- Lumi is not a therapist, psychologist, psychiatrist, counselor, coach, doctor, dietitian, trainer, lawyer, accountant, or any other licensed professional, and Lumi does not have the relationship of trust, care, or duty that such professionals owe.
- Anything Lumi says is not medical, psychological, mental-health, nutritional, fitness, legal, financial, or other professional advice and must not be relied on as such.
- Lumi may produce inaccurate, outdated, misleading, biased, offensive, or harmful content.
- Lumi may "hallucinate" — generate confident-sounding statements that are factually wrong.
- Lumi cannot detect crises, emergencies, suicidal ideation, abuse, or other situations that require human intervention. If you are in crisis or experiencing thoughts of self-harm, contact emergency services or a qualified crisis helpline immediately. Suggested resources:

- You should not share sensitive personal, financial, medical, or legal information with Lumi.
AI Habit Icon Generation
You may prompt our backend to generate a habit icon using an AI image model. You must not submit prompts that:
- Reference real people, public figures, or copyrighted characters
- Describe sexual, violent, hateful, or otherwise prohibited content
- Attempt to extract our system prompts or AI configuration
Generated icons are stored in private storage and associated with your habit. We do not warrant that generated icons are original, free of similarity to existing works, or appropriate for any purpose. You use generated icons at your own risk.
Third-Party AI Provider
You acknowledge that AI features depend on our third-party provider(s) (currently OpenAI). Information transmitted to those providers is governed by their terms and privacy practices. While we restrict the content sent to AI providers to what is needed to perform the feature, you should not submit information you would not want a third-party processor to receive.
No Warranty of AI Output
AI features are provided "as is" and without warranty of any kind. We disclaim all warranties relating to the accuracy, reliability, fitness for purpose, or non-infringement of AI-generated output. We are not liable for any decisions you, your accountability partner, or any third party makes in reliance on AI features.
§ 08Friend Connections, Accountability, and Habit Circles
Connections Are Consensual
You can find other Users by their public User Code. A friend connection requires both Users to accept the request. Habit accountability invites (one-to-one or Habit Circle) require both the owner and the partner to confirm participation. You may decline or cancel any invite.
What You Share With Connections
When you invite or accept another User as an accountability partner, that User can:
- See the linked habit (title, identity, schedule) and your associated check-ins for that habit.
- See proof photos you submit for that habit.
- Receive partner nudges from you and send them to you.
- Exchange messages and media with you in the habit-linked chat thread.
When you join a Habit Circle, all active members can see your circle-linked check-ins, proof, messages, and media within that circle.
Your Responsibility for Whom You Connect With
You are solely responsible for whom you invite, accept, and share habits or media with. We do not screen, vet, verify the identity of, or background-check other Users. Profile names, avatars, bios, and identity statements are User-provided and may be inaccurate, misleading, or impersonating.
You assume all risk in sharing proof photos, chat messages, identity statements, and habit information with other Users. We strongly recommend you only connect with people you know and trust in real life.
No Liability for Other Users' Conduct
We are not responsible for the conduct (online or offline) of any other User. We do not control what other Users do with information you share with them. We do not guarantee that other Users will respect your privacy, will not screenshot your content, will not share your content outside the Service, or will treat you well.
Blocking and Reporting
You may remove a friend connection, leave a Habit Circle, decline or cancel invites, and (when available) report abusive content to us. We may, but are not obligated to, investigate and act on reports.
§ 09Notifications, Reminders, and Communications
Local and Push Notifications
The Service can send local notifications (scheduled on your device) and push notifications (delivered via Expo Notifications and the operating system's push services) for habit reminders, Lumi check-in reminders, partner nudges, friend requests, habit invites, and Habit Circle activity.
You can disable notifications at the operating-system level at any time. Local reminders may not fire if your device is off, in Do Not Disturb mode, or if app permissions are revoked.
Service Emails
We may send transactional emails (account verification, password reset, security alerts, billing if applicable) to the email address on your account. You cannot opt out of essential service emails while you have an active account.
No Reliance on Notifications
Notifications are best-effort and may fail or be delayed. Do not rely on notifications for time-sensitive, safety-critical, or legally required deadlines. We are not liable for any consequence of a missed, late, duplicated, or incorrectly delivered notification.
§ 10Health, Wellness, and Mental Health Disclaimer
Nexu is a habit-tracking and accountability tool, not a healthcare service, medical device, mental-health service, or fitness/nutrition advisor.
You agree that:
- a. The Service is not intended to diagnose, treat, cure, mitigate, or prevent any disease, medical condition, eating disorder, addiction, mental-health condition, or psychological state.
- b. Nothing in the Service (including Lumi, proof verification, identity prompts, reflections, reminders, reward sheets, or progress metrics) constitutes medical, psychological, psychiatric, nutritional, fitness, or other professional advice.
- c. You will consult a qualified licensed professional before making decisions that may affect your physical or mental health.
- d. You will not use the Service as a substitute for professional care.
- e. Tracking, reflecting on, or sharing habits related to eating, weight, exercise, substance use, mental-health behaviors, medication adherence, or other sensitive topics is at your sole risk. If habit-tracking is making you feel worse, please stop using the Service and seek help.
- f. If you are experiencing a medical or mental-health emergency, call your local emergency services immediately. Do not rely on the Service.
If we become aware of content that suggests imminent risk to you or another person, we may, but are not obligated to, take action including content removal, account suspension, or contacting authorities.
§ 11Third-Party Services
The Service depends on and integrates with third-party services, including but not limited to:
- Supabase (authentication, database, storage, realtime, edge functions)
- OpenAI (proof verification, Lumi chat, habit icon generation)
- Google (OAuth sign-in)
- Expo / Expo Application Services (push notifications, build infrastructure)
- Apple App Store and Google Play Store (distribution)
- Your device's operating system and push notification services
We are not responsible for the availability, accuracy, content, security, or practices of third-party services. Your use of third-party services is governed by their respective terms and privacy policies, which you should review.
If a third-party service becomes unavailable, changes its terms, suspends our access, or is discontinued, related features of the Service may stop working, be limited, or be removed without notice. We are not liable for any such interruption.
§ 12Intellectual Property; Our Rights
Our Property
The Service — including the Nexu name, brand mark, Lumi mascot and persona, logos, app icons, designs, themes (Quest, Focus, Momentum), user interfaces, animations, copy, illustrations, source code, compiled binaries, prompts, system prompts, schemas, and all other content not submitted by Users — is the property of Su Pengzhong or our licensors and is protected by copyright, trademark, trade secret, and other intellectual property laws.
Except for the limited license granted in Section 5.1, no rights are granted to you. All rights not expressly granted are reserved.
Trademarks
"Nexu", "Lumi", the Nexu brand mark, and related logos and slogans are trademarks of Su Pengzhong. You may not use them without our prior written consent.
Copyright Infringement Notice
If you believe content on the Service infringes your copyright, send a written notice to support.nexu@gmail.com including:
- a. A physical or electronic signature of the copyright owner or authorized agent.
- b. Identification of the copyrighted work claimed to be infringed.
- c. Identification of the allegedly infringing material and information sufficient to locate it.
- d. Your contact information.
- e. A statement that you have a good faith belief that the use is not authorized.
- f. A statement, under penalty of perjury, that the information is accurate and that you are authorized to act.
We will respond to valid notices in accordance with applicable law. Repeat infringers will be terminated.
§ 13Payments and Subscriptions (Reserved)
At present, Nexu is provided free of charge. We may introduce paid features, subscriptions, in-app purchases, or trials in the future. Any paid features will be subject to additional terms presented at the point of purchase, including pricing, billing cycles, automatic renewals, cancellation, refunds, taxes, and platform-specific rules imposed by Apple, Google, or other payment processors.
Unless otherwise required by law, all fees are non-refundable. Refund eligibility for in-app purchases on iOS is governed by Apple's policies; on Android, by Google's policies.
§ 14Termination
By You
You may stop using the Service at any time. You may delete your account from in-app Settings or by emailing support.nexu@gmail.com. Deletion of your account will remove or anonymize your User Content in accordance with our Privacy Policy and applicable law, subject to legitimate retention needs.
By Us
We may suspend, restrict, or terminate your access to the Service, in whole or in part, at any time, with or without notice and with or without cause, including if we believe you have violated these Terms; if required by law or government request; for security or fraud reasons; if your account has been inactive; or if we discontinue the Service.
Effect of Termination
Upon termination:
- Your right to use the Service immediately ends.
- We may delete or retain your User Content as described in our Privacy Policy.
- Provisions that by their nature should survive termination (including Sections 5, 6.3, 6.7, 7, 10, 12, 15, 16, 17, 18, 19, 20, 21, 22, 23, and 24) will survive.
No Liability for Termination
We are not liable to you or any third party for any termination, suspension, or restriction of your access to the Service.
§ 15Disclaimers
THE SERVICE, INCLUDING ALL CONTENT, FEATURES, AI OUTPUTS, NOTIFICATIONS, AND THIRD-PARTY INTEGRATIONS, IS PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE EXPRESSLY DISCLAIM ALL WARRANTIES AND CONDITIONS, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING:
- Warranties of merchantability, fitness for a particular purpose, title, accuracy, completeness, and non-infringement.
- Warranties arising out of course of dealing, course of performance, or trade usage.
- Warranties that the Service will be uninterrupted, timely, secure, error-free, or virus-free.
- Warranties that defects will be corrected, that information transmitted will be accurate or reliable, or that data will not be lost.
- Warranties regarding the accuracy, reliability, or appropriateness of AI outputs (proof verification, Lumi responses, generated icons).
- Warranties regarding the conduct or content of other Users.
Some jurisdictions do not allow exclusion of certain warranties. In those jurisdictions, the foregoing exclusions apply only to the maximum extent permitted by law, and you may have additional rights.
§ 16Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- a. NO INDIRECT DAMAGES. IN NO EVENT WILL NEXU, OUR AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, USE, OR OPPORTUNITY, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, WHETHER IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
- b. CAP ON DIRECT DAMAGES. OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (i) THE TOTAL AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (ii) ONE HUNDRED SINGAPORE DOLLARS (SGD 100).
- c. BASIS OF THE BARGAIN. YOU ACKNOWLEDGE THAT THIS ALLOCATION OF RISK IS AN ESSENTIAL BASIS OF THE BARGAIN AND THAT WE WOULD NOT PROVIDE THE SERVICE WITHOUT THESE LIMITATIONS.
- d. SPECIFIC DISCLAIMER. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, WE ARE NOT LIABLE FOR:
- 1. ANY DAMAGES ARISING FROM YOUR USE OF OR RELIANCE ON AI VERIFICATION, LUMI, OR ANY AI OUTPUT.
- 2. ANY DAMAGES ARISING FROM THE CONDUCT OF OTHER USERS, INCLUDING HARASSMENT, IMPERSONATION, MISUSE OF SHARED CONTENT, OR ANY OFFLINE INTERACTION RESULTING FROM A CONNECTION MADE THROUGH THE SERVICE.
- 3. ANY DAMAGES ARISING FROM MISSED, LATE, OR INCORRECT NOTIFICATIONS, REMINDERS, OR PUSH MESSAGES.
- 4. ANY DAMAGES ARISING FROM YOUR DECISIONS REGARDING HEALTH, FITNESS, NUTRITION, MENTAL HEALTH, FINANCES, OR OTHER MATTERS, WHETHER OR NOT INFLUENCED BY THE SERVICE.
- 5. ANY DAMAGES ARISING FROM SERVICE INTERRUPTIONS, DOWNTIME, OR DATA LOSS, INCLUDING LOSS OF HABITS, CHECK-INS, MESSAGES, OR PROOF PHOTOS.
- 6. ANY DAMAGES ARISING FROM SECURITY INCIDENTS OR UNAUTHORIZED ACCESS BEYOND OUR REASONABLE CONTROL.
- e. CONSUMER LAW. NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW (FOR EXAMPLE, FOR DEATH OR PERSONAL INJURY CAUSED BY OUR NEGLIGENCE, FRAUD, OR FRAUDULENT MISREPRESENTATION). § 17Indemnification
To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Nexu, our agents, licensors, and service providers from and against any and all claims, damages, obligations, losses, liabilities, costs, debts, and expenses (including reasonable attorneys' fees) arising from or related to:
- a. Your access to or use of the Service.
- b. Your User Content (including proof photos and chat messages).
- c. Your violation of these Terms or any applicable law.
- d. Your violation of any third-party right, including intellectual property, privacy, or publicity rights.
- e. Any dispute between you and another User.
- f. Your decisions or actions taken in reliance on the Service, AI features, or other Users.
We reserve the right to assume the exclusive defense and control of any matter for which you are required to indemnify us, in which case you will cooperate with us.
§ 18Privacy
Our collection and use of your personal information is described in our Privacy Policy at https://www.nexuhabits.com/privacy, which is incorporated into these Terms by reference. By using the Service, you consent to that processing.
§ 19Modifications to the Terms
We may modify these Terms from time to time. If we make material changes, we will provide reasonable notice, such as by posting a revised version with a new "Last Updated" date, displaying an in-app notice, or emailing you. Material changes take effect on the effective date specified in the notice (and no sooner than seven (7) days after notice, unless required earlier by law).
Your continued use of the Service after the effective date constitutes your acceptance of the modified Terms. If you do not agree, you must stop using the Service.
§ 20Modifications to the Service
We may add, remove, change, suspend, or discontinue any feature, content, or functionality of the Service at any time, with or without notice. We may set, modify, or remove limits on certain features (e.g., the number of habits, friends, Habit Circle members, message lengths, storage quotas) at our discretion. We are not liable to you or any third party for any such modification.
§ 21App Store Terms
If you obtained the Service from the Apple App Store, you acknowledge that these Terms are between you and us, not Apple, and that Apple is not responsible for the Service or its content. The license granted to you in Section 5.1 is limited to using the Service on Apple-branded products you own or control, in accordance with the Apple Media Services Terms and any Usage Rules. Apple has no obligation to provide maintenance or support. Apple is not responsible for product warranties (express or implied), product or content claims, intellectual property infringement claims, or any failure to conform to legal or regulatory requirements. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them.
If you obtained the Service from the Google Play Store, you acknowledge that Google has no responsibility for the Service or its content and that your use is governed by Google's terms.
§ 22Dispute Resolution
Informal Resolution First
Before bringing any formal claim, you and we agree to try to resolve the dispute informally. Contact us at support.nexu@gmail.com with a written description of the dispute, your contact information, and the resolution you seek. We will attempt to resolve the dispute within sixty (60) days of receipt.
Jurisdiction
If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the courts of Singapore, and you consent to personal jurisdiction in those courts.
If you are a consumer resident in the European Union, the United Kingdom, or another jurisdiction that grants you the mandatory right to bring proceedings in your country of residence under local law, nothing in this Section deprives you of that right.
§ 23Governing Law
These Terms and any dispute arising out of or relating to them or the Service will be governed by and construed in accordance with the laws of Singapore, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
§ 24General Provisions
24.1 Entire Agreement. These Terms, together with the Privacy Policy and any additional terms presented to you in-app, constitute the entire agreement between you and us regarding the Service and supersede all prior agreements.
24.2 Severability. If any provision is held invalid or unenforceable, that provision will be modified to the minimum extent necessary or severed, and the remaining provisions remain in full force.
24.3 No Waiver. Our failure to enforce any right or provision is not a waiver.
24.4 Assignment. You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms freely, including in connection with a sale of the Service or its assets.
24.5 Force Majeure. We are not liable for any failure or delay caused by events beyond our reasonable control, including natural disasters, war, terrorism, civil disturbance, government action, labor disputes, internet or telecommunications failures, third-party service outages, pandemics, or epidemics.
24.6 No Agency. No partnership, joint venture, agency, employment, or fiduciary relationship is created by these Terms.
24.7 Notices. We may give notice via in-app message, email to the address on your account, or posting on our website. You must send legal notices to support.nexu@gmail.com.
24.8 Language. These Terms are written in English. Any translation is provided for convenience. In case of conflict, the English version controls.
24.9 Headings. Section headings are for convenience only and do not affect interpretation.
24.10 Survival. Sections that by their nature should survive termination will survive.
